Domain Marketplace Agreement

If you are selling or purchasing domains on Spaceship Domain Marketplace ("Marketplace"), the following additional terms and conditions ("T&Cs" and/or "Agreement") apply and supplement Spaceship's (“Our") Universal Terms of Service. By using Our Domain Marketplace, You explicitly agree to these T&Cs.

1. Marketplace "venue"

We provide the Spaceship Domain Marketplace as a venue for Buyers and Sellers to negotiate and complete transactions for domain names. We are not a party to any agreement between Buyers and Sellers, except where explicitly stated. Certain Marketplace transactions may be conducted via a Lease-to-Own arrangement, as governed by Section 10 below.

2. Customer status; Accurate information

To participate in any Marketplace transaction, you must specify valid information to Spaceship. You agree to thoroughly, accurately, and honestly complete all forms and requests for information by Spaceship throughout the Transaction process. You understand and agree that Spaceship will not be responsible for any false or misleading information. You provide, whether intentionally or unintentionally.

3. Listing and Selling Domains

When You place a listing in the Spaceship Domain Marketplace, You understand that this will advertise as a means of advertising on Your behalf that Your domain name is available for sale to third parties ("Listing"), You have the ability to place, edit, and remove Listings in the Marketplace by changing Your domain settings within Your Spaceship account. Further, you acknowledge and agree that Spaceship will not and does not place Listings on Your behalf. Moreover, You understand and agree that You are solely responsible and liable for any domains placed into the Marketplace from Your account, whether such placement is intentional or unintentional.

By placing a Listing, You represent and warrant that: (I) You have all rights, titles, and interests in the domain name as necessary to complete the Transaction; (II) the domain name does not infringe upon the intellectual property rights of any third party; (III) the domain name is not locked or suspended by any registrar or registry; (IV) the domain name is not currently, and will not in the reasonably foreseeable future be, the subject of a UDRP dispute, administrative proceeding, or any criminal or civil litigation of any kind; and (V) You are able to transfer the domain name in accordance with Your obligations under this Agreement to the buyer upon completion of the Transaction.

4. Buying Domains

By bidding on a Spaceship Marketplace Domain, You as Buyer acknowledge and agree that if You/Buyer has the winning offer, Buyer must provide prompt payment in accordance with the terms agreed upon with the Seller.

Buyers may not:

  • Engage in fraudulent behavior or bad-faith negotiations.

  • Attempt to circumvent the Platform’s fees or processes. 

For purchases made via Lease-to-Own, terms of payment, default, and ownership transfer are governed by Section 10.

5. Offers and Negotiations

Any offer made through the Spaceship Domain Marketplace constitutes a legally binding commitment. When a Seller or a Buyer accepts an offer, a binding agreement is formed, and both parties are obligated to complete the transaction. 

Offers are final once submitted. They may not be withdrawn, amended, or canceled unless explicitly allowed under this Agreement or with the written consent of both parties.

All negotiations must occur through the Spaceship Domain Marketplace. Attempts to bypass the Spaceship Domain Marketplace’s transaction process are prohibited.

6. Transaction Process

Transactions must be conducted using the intermediary services provided through the Spaceship Domain Marketplace. Both Buyers and Sellers agree to abide by the intermediary provider’s terms and conditions.

Transaction fees, as disclosed on the Spaceship Domain Marketplace, are payable by the relevant parties. By proceeding with a transaction, you agree to pay these fees.

Buyers and Sellers must fulfill their obligations promptly. Failure to do so may result in penalties or account suspension.

For Lease-to-Own transactions, payment processing and Seller payouts follow the additional terms set out in Section 10.

7. Dispute Resolution

In the event of a dispute concerning, relating to, or arising out of a Listing Transaction, You understand and agree that Spaceship shall not participate in any such dispute, except in the limited circumstances explicitly stated herein with regard to the Domain Sale feature, and You explicitly agree not to name Spaceship as a party to any lawsuit, administrative proceeding or criminal investigation.

8. User Conduct

8.1 Prohibited Activities:

  • Engaging in fraudulent or deceptive practices.

  • Violating intellectual property rights.

  • Circumventing the Spaceship Domain Marketplace’s transaction process or fees.

  • Disrupting the Spaceship Domain Marketplace’s operations.

8.2 Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted under their accounts.

9. Limitation of Liability

We are not liable for any disputes or damages arising from transactions between Buyers and Sellers. To the fullest extent permitted by law, we disclaim all liability related to your use of the Spaceship Domain Marketplace. The specific liability limitations relevant to Lease-to-Own transactions are further described in Section 10.

10. Lease-to-Own Domain Purchases

10.1. Definitions

LTO Domain: A domain name purchased via SellerHub under a Lease-to-Own (LTO) installment plan.

LTO Term: The period during which the Buyer makes recurring installment payments for the LTO Domain.

Service Fee: Any fee disclosed upfront at checkout for costs such as renewal or platform services.

Spaceship Holding Account: A secure custodial account in which the LTO Domain is placed and safeguarded by Spaceship during the LTO Term.

Custodial Registrant: Spaceship may appear as the registrant of record for the LTO Domain during the LTO Term solely in a custodial capacity, without acquiring beneficial ownership rights.

10.2. Payments and Refunds

All installment payments received are non-refundable.

Buyers may cancel future installment payments at any time, but will immediately forfeit all rights and access to the LTO Domain.

Payments are processed by third-party providers. Buyers agree to comply with the terms and conditions of such providers in addition to these Terms.

10.3. Domain Transfer and Custodial Holding

Seller Transfer: Once an LTO Agreement is initiated, the Seller shall transfer the domain into one of Spaceship’s designated registrar accounts. Spaceship will then consolidate the domain into its primary Spaceship Holding Account.

Custodial Registrant Role: Spaceship may be listed as the registrant of record during the LTO Term solely as a Custodial Registrant. This designation does not transfer ownership to Spaceship. The Seller remains the beneficial owner until the Buyer completes all installment payments.

Limited Buyer Access: After consolidation, Spaceship may grant the Buyer limited platform access to the LTO Domain. This access allows the Buyer to:

  • Configure and update DNS settings, including nameservers and records.

  • Request renewals and other basic management functions made available by Spaceship.

Restrictions: The Buyer shall not have registrant-level control of the domain during the LTO Term. Beneficial ownership rights remain exclusively with the Seller, with Spaceship serving only as custodian, until all installment payments are completed.

Final Ownership Transfer: Upon full completion of the LTO Term or early payoff, Spaceship shall transfer registrant ownership of the domain to the Buyer, granting unrestricted ownership rights.

10.4. Buyer Obligations

The Buyer agrees to use the LTO Domain lawfully and responsibly. The Buyer shall not:

  • Engage in practices that may devalue the LTO Domain, including black-hat SEO tactics, keyword stuffing, hidden text, doorway pages, or spam.

  • Grant or assign third-party rights in relation to the LTO Domain.

  • Act in any manner that could negatively impact the LTO Domain, SellerHub, or Spaceship’s services.

  • Use the LTO Domain for any illegal activities, including but not limited to fraud, phishing, distribution of malicious software, or infringement of intellectual property rights.

10.5. Pricing and Fees

The Seller is responsible for covering domain renewal and transfer fees related to Lease-to-Own domains. The Marketplace will not be liable for failed transfers or expired domains resulting from unpaid renewal or transfer fees.

All installment pricing, along with any applicable fees, must be fully disclosed to the Buyer upfront at checkout. No undisclosed or additional administrative fees may be applied during the Lease-to-Own term.

10.6. Early Payoff

Buyers may pay the remaining balance at any time with no additional fees.

Upon early payoff, Spaceship will immediately transfer registrant ownership of the LTO Domain to the Buyer.

10.7. Default and Termination

Grace Period: If the Buyer fails to make an installment payment when due, Spaceship will provide notice. The Buyer shall have five (5) business days to cure the missed payment (“Grace Period”). If payment is not cured within the Grace Period, the Buyer shall be in default.

Effect of Default: Upon default, the Buyer will lose all rights and access to the LTO Domain. No refunds shall be issued for payments already made.

Seller Reversion: In the event of default, the LTO Domain shall remain under Spaceship’s custodial control. Spaceship will notify the Seller and request transfer instructions. The Seller shall have up to twelve (12) months, or until the next renewal date of the domain (whichever occurs sooner) to reclaim the domain by providing transfer instructions. If the Seller fails to act within that period, Spaceship may, at its discretion, renew the domain at the Seller’s expense or otherwise dispose of the domain consistent with industry practice.

Spaceship’s Role: Spaceship acts solely as custodian and facilitator and shall not acquire beneficial ownership rights in the LTO Domain. Spaceship will not resell or reassign the domain except as expressly authorized by the Seller.

10.8. Purchase Protection

If a domain cannot be transferred to Spaceship or subsequently to the Buyer due to technical or administrative reasons, the Buyer shall receive a 100% refund under Spaceship’s Purchase Protection Program.

10.9. Indemnification

Buyer Indemnification

The Buyer agrees to indemnify, defend, and hold harmless both Spaceship and the Seller from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

  • the Buyer’s use or misuse of the LTO Domain;

  • any violation of these Terms by the Buyer; or

  • any third-party claims resulting from the Buyer’s activities involving the LTO Domain.

Seller Indemnification

The Seller agrees to indemnify, defend, and hold harmless Spaceship from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

  • disputes or claims between the Seller and the Buyer regarding the LTO Agreement;

  • the Seller’s misrepresentation of rights or authority in transferring the LTO Domain to Spaceship; or

  • any claim that Spaceship, acting as Custodial Registrant and facilitator, is liable for obligations that properly belong to the Seller under the LTO Agreement.

10.10 Scope of Spaceship’s Role

For clarity, the LTO Agreement is a direct contractual arrangement between the Buyer and the Seller. Spaceship’s role is strictly limited to facilitating installment payments, maintaining custodial control of the LTO Domain during the LTO Term, and providing managed access for Buyer use. Spaceship does not assume any liability for the performance, obligations, or representations of either the Buyer or the Seller.

11. Registry Restrictions

Certain domain extensions (TLDs) may not be eligible for listing, transfer, or sale through the Marketplace due to restrictions imposed by their respective registries. For example, .in domains cannot be listed for sale on the Marketplace, as such activity is not permitted by the registry (NIXI) and would violate the Registrar Accreditation Agreement (RAA).

The Marketplace reserves the right to block, remove, or reject listings that involve restricted TLDs at any time to ensure compliance with applicable registry rules and agreements.

12. Changes to this Agreement

We may update this Agreement from time to time. Changes will be effective upon posting on the Spaceship Domain Marketplace. Your continued use of the Spaceship Domain Marketplace after updates constitutes acceptance of the revised Agreement.
